Withholding tax — what it means
Withholding tax is charged at source when property is sold: 1% of the assessed or contract value (whichever is higher) for companies, and a progressive scale for individuals. Calculate it upfront — it shapes the seller’s net result.
How the tax is calculated
Withholding tax is retained when the transfer of title is registered. For a corporate seller the rate is 1% of the assessed or contract value — whichever is higher. For an individual seller the tax follows a progressive scale based on the assessed value, adjusted for the length of ownership: the longer the holding, the larger the deduction in the calculation formula.
Who pays and when
The tax is withheld at source when the deal is registered at the Land Department and by default falls on the seller, reducing their net result. In practice, the split of taxes and fees is a matter of negotiation and is fixed in the SPA; in some deals the parties share this item too. Work out the burden before signing, not at the registration counter.
